    Understand your rights and responsibilities when using Kelpcare.

    Welcome to Kelpcare. These Terms of Service (“Terms”) govern your access to and use of the Kelpcare platform, including the web application, mobile application, and any related services (collectively, the “Services”), provided for authorised organisations and their personnel.

    1. Acceptance of Terms

    By accessing, registering for, or using Kelpcare, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.

    2. Eligibility and User Roles

    Kelpcare is intended for use by organisations (such as NDIS providers, aged care organisations, or similar service providers) and their authorised personnel. By using the Services, you represent and warrant that:

    • You are authorised by your organisation to use Kelpcare;
    • You will use the Services only for lawful, work-related purposes;
    • You will comply with all applicable laws, regulations, and your organisation’s internal policies.

    Organisations may designate different user roles (for example, administrators and employees) with different permissions and access levels. Any action taken under an organisation’s account is deemed authorised by that organisation.

    3. Use of the Services

    You agree to use Kelpcare only for legitimate operational purposes related to your organisation. You must not:

    • Share your login credentials with any other person;
    • Access, or attempt to access, any data or area of the platform that you are not authorised to access;
    • Upload or transmit any content that is unlawful, offensive, defamatory, or harmful;
    • Interfere with, disrupt, or attempt to probe or test the security or performance of the Services;
    • Use the Services to monitor, benchmark, or reverse engineer Kelpcare for competitive purposes.

    4. Accounts and Security

    Your account is created and managed by your organisation or by an authorised administrator. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you suspect unauthorised access, you must notify your administrator or Kelpcare Support promptly.

    5. Data, Privacy, and Compliance

    Kelpcare collects and processes personal information in accordance with our Privacy Policy and applicable privacy laws. Your organisation is responsible for ensuring it has the necessary legal basis and consents to provide any personal data to Kelpcare and to use the Services in compliance with applicable law.

    6. Third‑Party Services and Integrations

    Kelpcare may integrate with third‑party services (such as payroll, accounting, or communication tools). If your organisation connects such services, you authorise Kelpcare to exchange data with those services as necessary to provide the integration. Your use of third‑party services is subject to their own terms and privacy policies.

    7. Subscription, Fees, and Changes

    Access to certain Kelpcare features may be provided on a subscription basis under a separate agreement between Kelpcare and your organisation. Fees, billing cycles, and payment terms are defined in that agreement or in the applicable plan. Kelpcare may update pricing or plan features upon notice to the organisation, typically effective from the next renewal period.

    8. Intellectual Property

    All rights, title, and interest in and to the Kelpcare platform, including software, design, logos, and content (excluding content uploaded by your organisation), are owned by Kelpcare or its licensors and are protected by intellectual property laws.

    9. User Content and Organisation Data

    Your organisation may upload or enter data into Kelpcare, including schedules, timesheets, notes, and other operational information (“Organisation Data”). As between Kelpcare and your organisation, your organisation retains ownership of Organisation Data.

    By using the Services, your organisation grants Kelpcare a non‑exclusive licence to host, process, and use Organisation Data solely for the purpose of providing and improving the Services and fulfilling legal obligations.

    10. Disclaimers

    The Services are provided on an “as is” and “as available” basis. Kelpcare does not guarantee that the Services will be uninterrupted, error‑free, or free from security vulnerabilities. To the maximum extent permitted by law, Kelpcare disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.

    11. Limitation of Liability

    To the maximum extent permitted by law, Kelpcare is not liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Services, even if Kelpcare has been advised of the possibility of such damages.

    12. Suspension and Termination

    Kelpcare or your organisation may suspend or terminate your access to the Services at any time, including for security reasons, misuse, non‑payment (where applicable), or breach of these Terms. Upon termination, your right to use the Services will cease, and your organisation is responsible for exporting any required data before closure, subject to applicable law and any separate agreement.

    13. Changes to These Terms

    Kelpcare may update these Terms from time to time. When changes are made, we will update the “Last Updated” date at the top of this page and may provide additional notice where appropriate. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

    14. Governing Law

    These Terms are governed by the laws applicable in the jurisdiction where Kelpcare is registered, without regard to conflict of law principles. Any disputes arising out of or in connection with these Terms or the Services will be subject to the exclusive jurisdiction of the courts in that jurisdiction, unless otherwise required by applicable law.
